Chile says AES May Have to Buy All of Gener

LCG, Dec. 13, 2000--Chilean Securities and Insurance Superintendent Alvaro Clarke said yesterday that new legislation may require AES Corp. of the U.S. to acquire 100 percent of power producer Gener if it completes its current tender offer for 80 percent of the company.

The legislation, not yet signed by President Ricardo Lagos, requires the purchaser of two-thirds of a Chilean company to acquire the remaining equity through a tender offer. Clarke said it was very likely President Ricardo Lagos would sign the Tender Offer and Corporate Governance Bill into law before AES completes its tender offer.

"If AES Corporation takes control of two-thirds of Gener during its tender offer, and if the new law is already ratified, then it must open a new process to control 100 percent of equity at a price that is no less than the one announced," Clarke explained.

AES has said it would be willing to consider acquiring 100 percent of Gener if legislation requires the company to do so.

Gener is Chile's second-largest power producer and its largest producer of electricity from thermal power plants.
