TransCanada, AltaGas to Buy Enron Canada Assets

LCG, Dec. 6, 2001--TransCanada PipeLines Ltd. said yesterday it has entered into a memorandum of agreement with AltaGas Services Inc. to form a partnership which would purchase the remaining rights and obligations of the 706 megawatt Sundance B power purchase arrangement from Enron Canada Power Corp.

TrasnsCanada said its subsidiary TransCanada Energy Ltd. will contribute about $110 million Canadian ($69 million U.S.) to the partnership upon closing for a 50 per cent interest.

The rights to the capacity of the Sundance B facility were originally purchased by Enron Canada Power Corp. under the Government of Alberta's auction in August 2000. At that time, TransCanada acquired the rights to the 560 megawatt Sundance A facility.

"TransCanada believes this arrangement represents an extremely competitive source of power in Alberta -- one of our core markets," said Hal Kvisle, chief executive. "This is another example of TransCanada demonstrating its ability to move quickly when a good business opportunity arises."

The Sundance power plant is located about 45 miles west of Edmonton, Alberta, and is the largest coal-fired electrical generating facility in Western Canada.
